If you do not agree to all of the Terms and Conditions of this Agreement, do not use this Web Site! Use of this Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of this Agreement.

The ADR Institute of Ontario, Inc. ("ADR Ontario") may amend this Agreement at any time by posting the amended terms on the Web Site. Please periodically review these Terms and Conditions because your continued usage of the Web Site will mean you accept those changes.


1. Privacy

Your privacy is important to ADR Ontario. In general, information which identifies you personally will not be sold or disclosed to unaffiliated third parties without your permission unless required to do so by law or as required to provide the products and services you have requested. In protecting your privacy rights, ADR Ontario safeguards your information from unauthorized access, honors your request to remove your name from our database, collects, maintains and uses your information only as necessary to provide products and services to meet your needs and the needs of those using Find a Professional/ADR Connect.

Your IP address is also used to gather broad demographic information.

For members, ADR Ontario uses member contact information to send you information about our services and materials which may be of interest to you.

If you wish to remove your information from our database to not receive future communications, you can send an e-mail to privacy@adrontario.ca.

2. Access and Interference

The contents of our Web Site, such as text, graphics, images and databases (collectively the "Content") are protected by copyright. You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy our web pages or the Content without our prior expressed written permission. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of our Web Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. Much of the information on our Web Site is proprietary or is licensed to ADR Ontario by our users or third parties. You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content from our Web Site without the prior expressed written permission of ADR Ontario or the appropriate third party.

3. Indemnity

You agree to indemnify and hold us and our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement, or your violation of any law or the rights of a third party.

4. No Warranties

The find a professional referral and information services (ADR Connect) are provided as a public service and are designed to assist you in finding the appropriate service-provider to help you in resolving your dispute. ADR Ontario DOES NOT OFFER LEGAL ADVICE or sponsor or warrant the quality of services you will receive.

ALL INFORMATION ON THE WEB SITE IS PROVIDED TO USERS ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

USE OF THE WEB SITE AND THE CONTENT AVAILABLE ON THE WEB SITE IS AT THE SOLE RISK OF THE USER. ADR ONTARIO DOES NOT WARRANT THAT USE OF THE WEB SITE WILL BE UNINTERRUPTED OR ERROR-FREE. ADR ONTARIO DOES NOT RECOMMEND OR ENDORSE ANY COMPANY OR ADVISOR, AND IS NOT RESPONSIBLE FOR THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE, OR STATEMENT MADE BY ANY THIRD PARTY.

6. Release

We are not involved in the actual provision of dispute resolution services between yourself and your selected dispute resolution professional. In the event that you have a dispute with your service provider, you release ADR Ontario (and our officers, directors, agents, subsidiaries and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

7. Linked Internet Sites

The links in our Web Site will let the user leave our Web Site. The linked sites are not under the control of ADR Ontario, and ADR Ontario is not responsible for the content available on any other Internet sites linked to our Web Site. ADR Ontario is providing these links as a convenience to users, and access to any other internet sites linked to our Web Site is at the user's own risk. The inclusion of any link does not imply a recommendation or endorsement by ADR Ontario of the linked site.

8. Jurisdiction

You expressly agree that exclusive jurisdiction for any dispute with ADR Ontario, or in any way relating to your use of the Web Site, resides in the courts of the Province of Ontario and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the Province of Ontario in connection with any such dispute including any claim involving ADR Ontario or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and content providers. These Terms and Conditions are governed by the laws of the Province of Ontario, without respect to its conflict of laws principles. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

9. Complete Agreement

EXCEPT AS EXPRESSLY PROVIDED IN A PARTICULAR "LEGAL NOTICE" ON THE SITE, THESE TERMS AND CONDITIONS CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND ADR ONTARIO WITH RESPECT TO THE USE OF THE WEB SITE AND ANY CONTENT OR SERVICE CONTAINED THEREIN.
